1. Agreement to Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Service Stack website, platform, and related services (the “Services”).

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Who We Are

Service Stack (“Service Stack”, “we”, “us”, or “our”) provides tools to help service providers and contractors manage clients, jobs, and communication.

You (“you”, “user”, or “customer”) are the business or individual using the Services.

3. Eligibility and Accounts

To use the Services, you must:

  • Be at least 18 years old

  • Have the authority to enter into these Terms on behalf of yourself or your business

  • Provide accurate account information and keep it up to date

You are responsible for maintaining the confidentiality of your account login and for all activity that occurs under your account.

4. Use of the Services

You agree to use the Services only for lawful business purposes and in compliance with these Terms and applicable laws.

You must not:

  • Use the Services to send spam, fraudulent, or abusive messages

  • Misuse personal data or violate privacy laws

  • Attempt to interfere with or disrupt the Services

  • Reverse engineer, decompile, or copy the platform in a way that violates our rights

We may suspend or terminate your access if we believe you are violating these Terms or harming our platform, other users, or consumers.

5. Fees and Payments

Some parts of the Services may be offered for a fee (for example, subscription plans or usage-based charges). By subscribing or using paid features, you agree to pay the applicable fees.

Unless otherwise stated:

  • Fees are billed in advance or as incurred

  • All charges are non-refundable except as required by law

  • You authorize us and our payment processors to charge your chosen payment method

6. Messaging and Phone Features (SMS/Voice)

Service Stack may enable you to send and receive SMS messages or phone calls through integrated partners (such as carriers or messaging providers).

By using these features, you agree that:

  • You have obtained the necessary consent from your customers to contact them by SMS or phone

  • You will honor opt-out requests (e.g., when a customer replies STOP)

  • You will not use messaging features to send unsolicited marketing or illegal content

Messages from Service Stack to you

When you sign up, you consent to us sending you SMS messages and/or calls related to:

  • New service requests and job notifications

  • Appointment reminders and scheduling changes

  • Account-related alerts, security notifications, and support

Message and data rates may apply. Message frequency will vary based on your usage.

To opt out of non-essential SMS from Service Stack, you can reply STOP to any message or contact us at [email protected]. You may still receive important account or legal notices.

7. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you agree that we may process data as described in the Privacy Policy, including sharing information with service providers who help us operate the platform (for example, hosting, messaging, and payment providers).

You are responsible for complying with applicable privacy and data protection laws in your own business, including how you handle your clients’ data.

8. Intellectual Property

All rights, title, and interest in and to the Services (including software, logos, designs, and content we provide) are owned by Service Stack or our licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You may not copy, modify, distribute, or create derivative works based on the Services except as expressly allowed by us in writing.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

  • That the Services will be error-free or uninterrupted

  • That messaging or phone calls will always be delivered or received

  • Any particular business results or revenue outcomes from using the Services

You are responsible for your own business decisions and outcomes.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will Service Stack, its owners, employees, or affiliates be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, or data

  • Business interruption or loss of goodwill

arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to us for the Services in the 3 months before the claim, or (b) $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Service Stack and its affiliates from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of any law or third-party rights

  • Your communications or interactions with your customers or end-users

12. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe:

  • You have violated these Terms

  • You pose a risk to the platform, other users, or consumers

  • We are required to do so by law or a partner provider

Upon termination, your right to use the Services will end, but certain sections (such as Fees, Disclaimers, Limitation of Liability, and Indemnification) will continue to apply.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in Florida, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Your continued use of the Services after changes are posted means you accept the revised Terms.
